Functional Roles
General Counsel & Legal Officers
RSR Partners conducts highly confidential and discreet General Counsel and Chief Legal Officer searches, working closely with boards and CEOs considering a search and with sitting general counsel building a succession plan.
Overview
These searches often begin before any change is public – a confidential succession discussion, a pending transition, or a sensitive governance matter – and are handled accordingly: we work directly with a small group of stakeholders and extend the same sensitivity to every candidate we approach.
We have recruited senior legal talent across the industrial, consumer, technology, financial services, and healthcare sectors for public, private equity-backed, family-owned, and founder-led organizations. Our relationships with sitting and former general counsel – and the law firm partners who advise them – provide access to candidates beyond conventional channels. We assess candidates for legal and subject-matter expertise, judgment, executive presence, and fit with the CEO and leadership team.
Characteristics of Today's Successful GCs
In recent years, boards and CEOs increasingly expect general counsel to weigh in on M&A, capital allocation, cybersecurity, data privacy and AI governance, ESG and stakeholder risk, geopolitical exposure, and crisis management – treating legal, regulatory, and enterprise risk as interconnected. This has changed hiring patterns, with companies more often recruiting general counsel from outside the organization, seeking leaders who can step into an enterprise-wide mandate immediately, and making direct, frequent board engagement standard rather than exceptional.
What we look for in GC candidates:
- Judgment and integrity. Boards and CEOs need to trust legal's judgment, particularly when the facts are inconvenient or the answer is unclear.
- A balanced view of risk and opportunity. The strongest general counsel weigh legal exposure against commercial opportunity and provide the board and leadership team with informed recommendations, rather than defaulting to caution.
- Independence and willingness to challenge. A general counsel needs the gravitas to challenge the CEO or the board when warranted, which depends on remaining organizationally independent from the functions they oversee.
- Business and strategic fluency. Today's general counsel is expected to be conversant in capital markets, operations, and enterprise strategy, functioning as a full partner to the CEO and the C-suite.
- Composure under pressure. Litigation, investigations, activist campaigns, and crises rarely arrive on schedule. The general counsel who performs well is calm and practical in stressful situations.
- Fluency in emerging risk. Cybersecurity, data privacy, AI governance, and geopolitical exposure are now core general counsel competencies rather than specialist add-ons.
- Ability to build and lead a team. As the function's scope expands, the general counsel is increasingly responsible for building a legal team the rest of the enterprise can rely on.
We evaluate candidates against this fuller picture through structured interviews, referencing, and direct conversations with the boards and executives they have worked with.
